These Terms and Conditions apply to FarmVizion software, digital services, subscriptions, IoT solutions, consulting services and, where offered, physical products. Mandatory statutory consumer rights remain unaffected.
01.Scope and Applicability
These Terms apply to contracts between FarmVizion and its customers unless a separate written agreement, order form, statement of work, service level agreement or other individual contract provides otherwise. FarmVizion provides services to both businesses and consumers. Provisions expressly referring to consumers apply only where the customer acts for purposes predominantly outside that person's trade, business or profession. Mandatory consumer-protection law always takes precedence.
02.Contracting Party
While the company remains in formation, the contracting provider is FarmVizion UG (haftungsbeschränkt) i.G., Dankelsried 6, 87742 Erkheim, Germany. Following commercial-register registration, the legal entity information in the Legal Notice will be updated accordingly.
03.Conclusion of Contract
Descriptions of products and services on the FarmVizion website are not binding offers unless expressly identified as such. For individually negotiated projects, a contract is concluded when the applicable proposal, statement of work, order form or other agreement is accepted by both parties. Where an online ordering process is offered, submission of the order constitutes the customer's binding offer. FarmVizion accepts that offer by an express acceptance notice, activation or provision of the ordered digital service, or dispatch of the ordered product, whichever occurs first, unless the relevant ordering process expressly provides otherwise. An automated acknowledgement that an order has been received does not itself constitute acceptance unless expressly stated.
04.Services
FarmVizion may provide SaaS and PaaS services, AIVA OS functionality, custom software development, APIs, IoT integrations, cloud and edge services, agricultural analytics, consulting, testing, hardware integration and related services. The specific scope, functionality, implementation responsibilities and service levels are determined by the applicable product description, subscription plan, statement of work, SLA or individual agreement.
05.Accounts and Access
Users must provide accurate account information and protect account credentials from unauthorised use. Accounts may not be shared or transferred contrary to the applicable subscription or contract. Customers must promptly notify FarmVizion if they become aware of unauthorised access, compromised credentials or other security incidents affecting their account.
06.Prices and Payment
The applicable price and payment conditions are those displayed during the ordering process or agreed in the relevant proposal, subscription, order form or statement of work. Prices shown to consumers are presented as total prices including applicable VAT where required by law. Any additional delivery or other unavoidable charges are disclosed before the consumer submits a binding order. Prices quoted exclusively to business customers may be stated net of VAT where clearly indicated. Cross-border transactions may be subject to additional tax, customs or import requirements according to applicable law.
07.Subscriptions and Recurring Services
The initial term, billing period, renewal conditions and termination rules for recurring services are stated before the subscription is concluded and in the applicable subscription documentation. Where German law requires an online cancellation function for consumer subscriptions concluded through a website, FarmVizion will provide the legally required cancellation functionality. Mandatory consumer termination rights remain unaffected.
08.Digital Products, Software and Updates
For consumers, mandatory statutory provisions governing digital products remain unaffected. FarmVizion will provide updates, including security updates, where and for as long as required under applicable law. Customers must install or enable updates within a reasonable period where this is necessary for secure or compliant operation and where they have been informed of the availability and consequences of failing to install them.
09.Hardware, Delivery and Physical Products
Where FarmVizion sells physical products, the applicable product description, price, delivery area, delivery costs and estimated delivery information are shown or communicated before the order is concluded. For consumers, statutory rules regarding delivery, transfer of risk, conformity, remedies and warranties apply. Additional B2B delivery terms may be agreed separately with commercial customers.
10.Consumer Right of Withdrawal
Consumers entering into qualifying distance or off-premises contracts generally have a statutory 14-day right of withdrawal, subject to statutory exceptions. FarmVizion provides the legally required withdrawal information and model withdrawal form separately where a statutory right of withdrawal exists. For paid services started before expiry of the withdrawal period, any early commencement and possible expiry of the withdrawal right occur only under the conditions required by law, including the consumer's express request or consent and required acknowledgement. For digital content not supplied on a tangible medium, the withdrawal right may expire after performance begins only where the statutory requirements for express consent, acknowledgement and confirmation have been satisfied. Where required for contracts concluded through an online interface, FarmVizion will provide the statutory electronic withdrawal function.
11.AI, Analytics and Agricultural Recommendations
FarmVizion may use AI, machine learning, computer vision, sensor data and automated analytics to provide forecasts, recommendations, alerts and decision-support information. Agricultural conditions are affected by factors outside FarmVizion's control, including weather, soil conditions, biological processes, machinery, connectivity and user actions. Unless expressly guaranteed in an individual agreement, outputs are decision-support information and do not constitute a guarantee of a particular yield, financial outcome or agricultural result. This provision does not exclude liability or statutory rights where exclusion would be prohibited by law.
12.Customer Responsibilities
Customers are responsible for lawful use of the services, the accuracy of information supplied by them, proper configuration of customer-controlled equipment and compliance with laws applicable to their own agricultural, employment, environmental or commercial operations. Customers must not use FarmVizion services to infringe third-party rights, introduce malicious code, circumvent security controls, interfere with service availability or process personal data unlawfully.
13.Intellectual Property
FarmVizion and its licensors retain all rights in FarmVizion software, source code, platform architecture, models, algorithms, designs, documentation, trademarks and other proprietary materials unless an individual written agreement expressly provides otherwise. Customers receive only the usage rights expressly granted by the applicable subscription, licence, statement of work or individual contract. Custom development projects may contain separately agreed intellectual-property provisions.
14.Customer and Farm Data
Customers retain their rights in data lawfully supplied by them, subject to the rights required for FarmVizion to provide the contracted services. FarmVizion does not acquire ownership of customer farm data merely because the data is processed through FarmVizion services. Where FarmVizion processes personal data on behalf of a customer, the parties will enter into a Data Processing Agreement where required by Article 28 GDPR. Rights in non-personal operational data, derived data and analytics may be further specified in the applicable individual contract.
15.Conformity and Warranty
Mandatory statutory warranty and conformity rights apply and are not restricted by these Terms where such restriction is prohibited. Any additional service level, availability commitment, support commitment or commercial warranty applies only where expressly stated in the applicable subscription plan, SLA, product documentation or individual agreement.
16.Liability
FarmVizion is liable without limitation for intent and gross negligence, for injury to life, body or health, under mandatory product-liability law, for fraudulently concealed defects and to the extent FarmVizion has expressly assumed a guarantee. In cases of slight negligence, FarmVizion is liable for breach of material contractual obligations whose performance is essential to proper performance of the contract and on which the customer may normally rely. In such cases, liability is limited to the foreseeable damage typical for the contract to the extent legally permissible. Any further exclusion or limitation applies only to the extent permitted by applicable law. Mandatory consumer rights remain unaffected.
17.Termination and Suspension
Termination periods for recurring services are determined by the applicable subscription or individual agreement and mandatory law. Either party may terminate a continuing contractual relationship for good cause where the legal requirements are satisfied. FarmVizion may temporarily restrict access where reasonably necessary to address security incidents, unlawful use or serious contractual violations, taking the customer's legitimate interests into account.
18.Consumer Dispute Resolution
FarmVizion is neither willing nor, unless otherwise required by applicable law, obligated to participate in dispute resolution proceedings before a consumer arbitration board. The former European Commission Online Dispute Resolution platform has been discontinued and is therefore no longer referenced in these Terms.
19.Data Protection
Personal data is processed in accordance with applicable data protection law and the FarmVizion Privacy Policy. Where FarmVizion acts as processor for a business customer, processing is additionally governed by the applicable Data Processing Agreement.
20.Governing Law and Jurisdiction
German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods where legally permissible. For consumers, this choice of law does not deprive the consumer of mandatory protections granted by the law of the country in which the consumer has their habitual residence where those protections apply under conflict-of-law rules. Any agreement on exclusive jurisdiction applies only to the extent legally permissible, in particular in transactions with merchants, legal entities under public law or special funds under public law.
